§ 1 Scope
These Terms and Conditions apply to all contracts, deliveries and other services of Babilo GmbH (hereinafter referred to as “Seller”) with entrepreneurs (§ 14 BGB) and consumers (§ 13 BGB). Deviating or conflicting customer terms shall only become part of the contract if the Seller has expressly agreed to their validity in writing.
§ 2 Offers and conclusion of contract
(1) All offers made by the Seller are non-binding and subject to change.
(2) A contract is concluded by written order confirmation from the Seller or by delivery of the goods.
§ 3 Prices and payment terms
(1) All prices are net ex warehouse Germany (EXW, Incoterms 2020), plus statutory VAT.
(2) Payments are due without deduction within 10 days from the invoice date. Discounts are granted only by express agreement.
(3) In the event of late payment, the Seller is entitled to charge default interest at the statutory rate and to withhold further deliveries or deliver only against advance payment. Collection costs shall be borne by the customer.
(4) The customer may offset or exercise a right of retention only if the counterclaims have been legally established or acknowledged by the Seller in writing.
§ 4 Delivery and transfer of risk
(1) Delivery is made EXW warehouse Germany.
(2) Risk passes to the customer when the goods are handed over to the carrier, freight forwarder or other person designated for shipment.
(3) If shipment is delayed for reasons attributable to the customer, risk passes upon notification that the goods are ready for dispatch.
§ 5 Analysis, release and transfer of liability (applies only to entrepreneurs)
(1) Delivery of dried fruits and nuts is made exclusively after written release of the analysis commissioned by the customer and carried out by a domestic accredited laboratory.
(2) By written release, the customer confirms that the goods correspond to the contractually agreed properties.
(3) After release, complaints about obvious or known defects are excluded; liability of the Seller for qualitative or content-related properties of the goods is excluded unless mandatory statutory provisions have been violated or hidden defects have been fraudulently concealed.
(4) From the time of release, the customer bears sole responsibility for marketability, storage and use of the goods.
(5) If analysis results are neither accepted nor rejected in writing after conclusion of the contract, Babilo GmbH shall not provide damages or replacement delivery. Advance payments shall be refunded promptly and without interest; further claims are excluded.
§ 6 Nature of the goods
Natural products may vary in color, smell, taste, structure or analysis values depending on harvest and lot. Such deviations within customary industry tolerances do not constitute a defect.
§ 7 Inspection and notification of defects
(1) Obvious defects must be reported in writing within three working days after receipt of the goods.
(2) Hidden defects must be reported immediately after discovery, at the latest three working days after becoming known.
(3) If the customer fails to notify defects in due time, the goods are deemed approved unless there is a hidden defect that was not recognizable even upon careful inspection.
§ 8 Retention of title
(1) The goods remain the property of the Seller until full payment of all claims.
(2) The customer is entitled to resell the reserved goods in the ordinary course of business. The resulting claims are hereby assigned to the Seller as security.
(3) In the event of conduct contrary to contract, in particular late payment, the Seller is entitled to withdraw from the contract and demand return of the goods.
§ 9 Liability
(1) In contracts with entrepreneurs, the Seller is liable only for intent and gross negligence. In cases of simple negligence, liability exists only for breach of essential contractual obligations and is limited to the typically foreseeable damage.
(2) For contracts with consumers, statutory warranty rights apply.
(3) Liability under the Product Liability Act remains unaffected.
§ 10 Force majeure and self-supply reservation
Events of force majeure or interruptions in self-supply by upstream suppliers release the Seller from the obligation to perform for the duration and extent of the impediment. In case of continuing impediment, the Seller is entitled to withdraw from the contract in whole or in part.
§ 11 Packaging and disposal
Packaging is included in the agreed price. Disposal is carried out by the customer.
§ 12 Certifications and analyses
Babilo GmbH is neither IFS nor ISO certified. Analyses from suppliers or third-party laboratories are provided upon request.
§ 13 Place of jurisdiction, place of performance and applicable law
The place of performance for delivery and payment and the place of jurisdiction, where permissible, is the registered office of Babilo GmbH. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
§ 14 Written form
Changes and additions to these Terms and Conditions must be made in writing. This also applies to the waiver of this written form requirement. Email is sufficient.
§ 15 Severability clause
If individual provisions of these Terms and Conditions are or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
